1. Agreement

These Terms govern access to and use of the GoodThought Services. By using the Services, you agree to these Terms and applicable policies incorporated by reference, including the Privacy Policy and other policies identified on the GoodThought website.

2. Eligibility

You must be at least 13 to create an account. If a particular feature has a higher age requirement, that requirement applies. You may not use the Services where prohibited by law.

3. Accounts

You are responsible for maintaining accurate account information and protecting credentials. You must promptly notify GoodThought of unauthorized access or suspected security compromise.

4. License and Restrictions

GoodThought grants a limited, non-exclusive, non-transferable, revocable license to use the Services for permitted personal or authorized organizational purposes. You may not reverse engineer, scrape, copy substantial portions, interfere with operation, bypass access controls, misuse another person's account, or use the Services unlawfully.

5. User Content

You retain rights in content you submit, subject to the license reasonably necessary for GoodThought to operate the Services. You are responsible for content you submit and must comply with the Community Guidelines and Content Policy.

6. Experts and Third Parties

Expert services may be provided by independent professionals. Third-party services may have their own terms and privacy practices. GoodThought does not guarantee the acts, omissions or professional outcomes of independent third parties.

7. AI and Wellness

ORI is not a medical, mental-health, legal or financial professional and should not be relied upon for diagnosis, treatment or other professional decisions. Wellness content is educational and general.

8. Communications

GoodThought may send transactional and service-related communications necessary to provide, secure, administer, or support the Services, including account verification, authentication and security notifications, booking confirmations, session reminders, subscription and billing notices, payment or refund notices, customer support communications, and important service updates.

GoodThought may also send optional marketing, promotional, educational, product, content, or engagement communications where permitted by applicable law and where the user has provided the required affirmative consent.

Marketing email consent and marketing SMS consent are optional and are not a condition of creating an account, purchasing a subscription, or using GoodThought. Users must be able to decline optional marketing communications and continue using the Services.

GoodThought may use Amazon Simple Email Service (Amazon SES) and Twilio SendGrid for email delivery, and Twilio for SMS and messaging services. These providers may process information necessary to deliver communications and related security, deliverability, compliance, unsubscribe, suppression, bounce, complaint, or support functions, as described in the Privacy Policy.

For marketing email, users may withdraw consent through the unsubscribe mechanism provided in the communication or through available communication preferences. For recurring SMS, users may opt out by replying STOP and may request assistance by replying HELP or contacting support@goodthought.app.

GoodThought does not use acceptance of these Terms as a substitute for separate, campaign-specific SMS consent. Where SMS marketing consent is required, that consent is obtained through a separate, voluntary mechanism.

9. Subscriptions

Paid plans, trials, renewals, billing, cancellations and refunds are governed by the Subscription & Billing Policy and Refund & Cancellation Policy.

10. Intellectual Property

GoodThought and its licensors own the Services and associated intellectual property except for rights expressly retained by users or third parties. See the Copyright & IP Policy.

11. Disclaimers

To the maximum extent permitted by law, the Services are provided on an as-is and as-available basis. GoodThought does not guarantee uninterrupted or error-free operation, specific outcomes, or that content will meet every user's needs. Nothing in these Terms excludes non-waivable rights.

12. Limitation of Liability

To the maximum extent permitted by applicable law, GoodThought will not be liable for indirect, incidental, special, consequential or punitive damages arising from use of the Services. Any applicable limitation is subject to mandatory law and does not limit liability that cannot legally be limited.

13. Indemnification

To the extent permitted by law, you agree to indemnify GoodThought for third-party claims arising from your unlawful use of the Services, violation of these Terms, or infringement of third-party rights through your content.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware and applicable federal law of the United States, without regard to conflict-of-law rules, except to the extent mandatory law in your place of residence applies. Dispute-resolution provisions, including any arbitration mechanism and legally required consumer protections, will be applied only to the extent enforceable under applicable law.
